OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. OPEN ONLY TO LEGAL U.S. RESIDENTS RESIDING IN THE FORTY-EIGHT (48) UNITED STATES (EXCLUDING ALASKA AND HAWAII) OR THE DISTRICT OF COLUMBIA WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE AND THE AGE OF MAJORITY IN THEIR STATE OF RESIDENCE AS OF DATE OF ENTRY. PARTICIPATION IN THE SWEEPSTAKES IS SUBJECT TO THE PROMOTION DETAILS AND TERMS AND CONDITIONS OF THESE OFFICIAL RULES. THE SWEEPSTAKES IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

By entering the Team Pixel NWSL Superfans Sweepstakes (the “Sweepstakes”) you agree to abide by all terms and conditions referenced in these Official Rules.

1. ELIGIBILITY:
To be eligible to enter the Sweepstakes you must be a legal United States resident residing in the forty-eight (48) United States (excluding Hawaii and Alaska) or District of Columbia, and at least eighteen (18) years of age and the age of majority in your state of residence as of date of entry. Employees of Google LLC (“Google” or “Sponsor”), National Women’s Soccer League, LLC (“NWSL”), GMR Marketing LLC (“GMR”), and each of their respective agencies, parent companies, subsidiaries, affiliates, promotional partners, sales representatives, and promotion and other vendor agencies involved in this Sweepstakes, its affiliates and each of their respective employees, shareholders, officers, directors, members, successors, agents and assigns (collectively “Released Parties”) and the immediate family (defined for the purposes of this Sweepstakes as parents, spouses, siblings, children) and household members of all such employees, are NOT eligible to participate in the Sweepstakes and/or win a prize. Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited or restricted by law.

2. TIMING:
Eligible entrants may enter into the Sweepstakes beginning at 12:00:00 a.m. Pacific Time (“PT”) on May 8, 2024 and ending at 11:59:59 p.m. PT on June 18, 2024 (the “Sweepstakes Period”).

3. HOW TO ENTER:
During the Sweepstakes Period, eligible entrants may earn one (1) Sweepstakes entry by visiting www.NWSLsoccer.com/teampixelsweeps (the “Website”) and completing all required fields including first and last name, email address, daytime phone number, selecting your favorite NWSL team, and ticking the box to accept these Official Rules and the Sponsor’s Privacy Policy.

There will be fourteen (14) separate First Prize entry pools, one for each NWSL team. The NWSL team selected by the entrant during the entry process will determine the entry pool for each entrant. Within each entry pool, one (1) First Prize winner will be randomly selected (see Section 4 below). One (1) winner for each of the fourteen (14) First Prizes (one (1) winner from entries designated for each NWSL team), will be selected by random drawings.

All confirmed First Prize winners will automatically be eligible to win a Grand Prize if their team advances in the final round of play (see Grand Prize Designation in Section 4 below). The First Prize and the Grand Prize collectively referred to as “Prize.”

Entry Limit: Limit one (1) entry per person/authorized email account holder during the Sweepstakes Period. The use of automated devices to enter this Sweepstakes is prohibited. Entries generated by script, macro or other automated or mechanical means or means which subvert the entry process will be void. Subsequent entries from the same eligible individual in excess of the entry limit will be automatically disqualified from the Sweepstakes. Any attempt by any person to obtain more than the stated number of entries will void all of that person’s entries and that person will be disqualified. The Released Parties are not responsible for late, lost, delayed, damaged, misdirected, incomplete, illegible, mutilated or unintelligible entries. Incomplete or illegible entries are not eligible and will be disregarded.

4. WINNER SELECTION/DESIGNATION AND PRIZES:
One (1) winner for each of the fourteen (14) First Prizes (one (1) winner from entries designated for each NWSL team), will be selected by random drawings. Additionally, two (2) Grand Prizes will be awarded; two (2) of the confirmed First Prize winners will also receive a Grand Prize if the NWSL team they selected at the time of entry into this Sweepstakes advances to play in the 2024 Championship Game.

First Prize Winner Selection: On or around June 24, 2024, GMR will randomly select fourteen (14) potential First Prize winners, one (1) from entries designated for each NWSL team, from among all eligible entries received during the Sweepstakes Period. The random drawings will be conducted under the supervision of Sponsor, whose decisions are final. Odds of winning each First Prize depend on the number of eligible entries designated for each NWSL team’ entry pool received during the Sweepstakes Period.

There are fourteen (14) First Prizes available; each First Prize is a trip for the winner and one (1) guest to attend a designated 2024 Regular Season NWSL game at the home field of a designated NWSL team (each, a “Regular Season Game”), plus a Google suite (as described below) for the winner. Each First Prize consists of:
● Two (2) premium tickets for a home 2024 Regular season NWSL game between July 15, 2024 and October 13, 2024 for the NWSL team each winner chose during the Sweepstakes entry process, plus behind-the-scenes access for the winner and one (1) guest (tickets are subject to certain terms and conditions specified thereon).
● Lodging/hotel accommodations for winner and one (1) guest for two (2) nights (one room, double occupancy). Room and tax only at a hotel determined by the Sponsor; winner is responsible to provide any required credit card or deposit upon hotel check-in for personal use of incidental charges during hotel stay.
● Round-trip economy class air transportation for winner and one (1) guest from a major commercial airport near winner’s residence (selected at the sole discretion of Sponsor) to a major commercial airport near the venue of the
designated Regular Season Game.
● One (1) Google suite consisting of: Google Pixel 8 Pro mobile phone, Google Pixel Watch 2, and Pixel Buds Pro; Approximate Retail Value (“ARV”) $1,550 value (phone is unlocked and works with any major carrier; phone, watch, and buds features, storage space, color, and all other aspects of the phone, watch, and buds are at the discretion of the Sponsor).
● $600 prepaid gift card for winner intended to be used to cover any cost of phone activation, incidentals at hotel, food, transportation or spending cash.
● $2,809.64 gross up payment in the form of a corporate check to assist with tax obligations.

ARV of each First Prize is $ 8,263.64.

Grand Prize Winner Designation: The two (2) First Prize winners aligned with the two (2) NWSL teams who advance to compete in the 2024 Championship Game (“Championship Competitor Teams”) will automatically be designated to also receive a Grand Prize. The potential Grand Prize winners will be selected November 18, 2024 and notified via phone and/or email on or about November 18, 2024 and must respond to GMR within twenty four (24) hours of notification to accept the Grand Prize or it will be automatically forfeited.

If a First Prize winner aligned with a Championship Competitor Team forfeits the offered Grand Prize, the applicable Grand Prize will not be awarded.

There are two (2) Grand Prizes available; each Grand Prize is a trip for the winner and one (1) guest to attend the 2024 Championship game (the “Championship Game”). The odds of a First Prize winner also winning a Grand Prize are 2:14.
Each Grand Prize consists of:
● Two (2) premium tickets for the 2024 Championship game on November 23, 2024, plus behind-the-scenes access for the winner and one (1) guest.
● Lodging/hotel accommodations for winner and one (1) guest for two (2) nights (one room, double occupancy) in the Championship Game host city. Room and tax only at a hotel determined by the Sponsor; winner is responsible to provide any required credit card or deposit upon hotel check-in for personal use of incidental charges during hotel stay.
● Round-trip economy class air transportation for winner and one (1) guest from a major commercial airport near winner’s residence (selected at the sole discretion of Sponsor) to a major commercial airport near the Championship Game venue.
● $600 prepaid gift card for winner intended to be used for incidentals at hotel, food, transportation or spending cash.
● $2,088.42 gross up payment in the form of a corporate check to assist with tax obligations.

ARV of each Grand Prize is $ 6,142.42.

The total ARV of all prizes is $ 127,975.80.

Additional Prize Terms:
First and Grand Prize winners must plan travel with GMR and travel must occur on dates presented by the Sponsor, or the First or Grand Prize winner shall forfeit the prize in its entirety and an alternate winner may be selected, time permitting. Winners and their guests must possess any insurance and valid travel documents (i.e., valid government-issued photo ID) in order to travel.

Dates of departure and return, travel route, air carriers, seat selection, hotel accommodations, activities, and all elements of a Prize will be arranged by and determined by the Sponsor in its sole discretion, and are subject to availability and change. Airline carrier’s regulations and conditions apply. Prize trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. No refunds or credits for changes are allowed.

All other expenses and costs, not expressly listed above, including, but not limited to, federal, state, and local taxes, airline optional services and baggage fees, tips, entertainment, transfers, meals, and transportation to and from Prize winner’s/guest’s home residences are a winner’s/guest’s sole responsibilities.

Released Parties are not responsible for changes in schedule of any element of a Prize and the Released Parties are not liable for any expenses incurred as a consequence of flight cancellation/delay. Any change made by a Prize winner or guest to the travel itinerary, including any cost implications, is a Prize winner’s sole responsibility. For a Prize winner who resides within three-hundred (300) miles of the destination, air transportation may be substituted with another method of transportation by the Sponsor in its sole discretion, with no further obligation to the winner. In connection with the Sweepstakes, be advised that any and all policies, guidelines, and recommendations of the CDC, hotel, and airlines must be followed. In addition, guests should be aware of and comply with government guidelines regarding travel restrictions and mandatory quarantines.

Prizes are not redeemable for cash or exchangeable for other travel or a different game date. No substitution, transfer, or assignment of a Prize permitted, except that the Sponsor, in its sole discretion, reserve the right to substitute any portion of a Prize with a prize of equal or greater value for any reason, including without limitation, prize availability.

Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s terms and conditions, and winner agrees to look solely to such manufacturers for any such warranty or guarantee claim. Certain conditions and restrictions apply.

NWSL game tickets are subject to certain terms and conditions as specified thereon. Seat locations will be determined by Sponsor. Winners and guest (if applicable) must comply with all venue rules and regulations. Failure to do so may result in removal of the offending winner or guest from the venue.

Any and all federal, state, or local tax obligation or other expense that the winner may be liable for as a result of receiving a Prize is the sole responsibility of the winner and Sponsor will comply with all tax reporting requirements. Winners will be issued a 1099-MISC tax
form for the ARV of the Prize delivered in a calendar year. Individuals who win both a First Prize and a Grand Prize may receive 1099-MISC tax forms for the 2024 and 2025 calendar years. Winners are advised to seek independent counsel regarding the tax implications of accepting a prize. ARV of Prize may vary depending upon the points of departure, ground transportation, and/or airline fare fluctuations; any difference between stated ARV and final ARV of Prize will not be awarded. All Prize details are at Sponsor’s sole discretion.

These are estimated values only. The actual value of each First and Grand Prize is expected to vary, based on the point of origination, airfare fluctuations, and hotel pricing. If the actual value of the travel portion of prize is less than stated, difference will not be awarded in cash, and no such claim will be honored.

Acceptance, participation in and/or use of a prize is at winner’s sole risk and the Sponsor and Released Parties are not responsible for any damages whatsoever including special, indirect, or consequential damages, arising out of or in connection with the use and/or misuse of a prize.

5. WINNER NOTIFICATION:
The potential First Prize winners will be notified by phone or email to the phone or email address provided on the potential First Prize winners’ Official Online Entry Form on or about June 24, 2024. Each potential First Prize winner will have forty-eight (48) hours from the time of the first notification to respond to the email and/or phone call and provide their responses to the presented eligibility questions or the potential First Prize winner will automatically forfeit the First Prize in its entirety.

Each potential First Prize winner will be required to complete, sign, have notarized and return the presented affidavit of eligibility, mutually acceptable liability release, publicity release, an Assignment of Rights, background investigation authorization form, and the appropriate tax documents (the “Documents”) via the secure electronic notary process provided by GMR or other method acceptable to the Sponsor, within five (5) calendar days of delivery of the Documents, and may need to pass a background check prior to being confirmed as a First Prize winner, or the First Prize will be forfeited in its entirety.

First Prize winners’ guests must be a legal resident of the forty-eight (48) United States (excluding Alaska and Hawaii) or the District of Columbia, and eighteen (18) years of age or older, unless the winner’s guest is their child or legal ward, then First Prize winner must complete, sign, and return on their behalf the presented affidavit of eligibility, mutually acceptable liability release, publicity release and a background investigation authorization form within five (5) calendar days of delivery of the First Prize winner Documents and prior to travel and may need to pass a background check, at the discretion of the Sponsor, prior to being confirmed as a guest, or the guest portion of the Prize may be forfeited in its entirety.

a) Background Investigation: The Sponsor reserves the right to conduct a background investigation on the potential winners and their guests, and reserve the right in their sole discretion to disqualify any potential winner or guest based on the results of such background investigation, if the Sponsor determines in their sole discretion that awarding a prize to such winner or guest might reflect negatively on the Sponsor or the National Women’s Soccer League, LLC.

Potential winners agree and understand that they and their guests must agree to authorize and cooperate with an independent background investigation by the Sponsor and/or its agents by completing a Background Investigation Consent form in the designated timeframe for an investigation of their background, references, character, employment, education, social media, and without limitation civil and criminal court records or police records, including a review of social media, including those maintained by both public and private organizations and all public records, for the purpose of confirming information provided by the potential winner and/or obtaining other information that may be relevant to qualifications as the potential prize recipient in the Sweepstakes. Potential winners agree and understand that based on such results, they or their guest may be disqualified if the results are not acceptable to the Sponsor at the Sponsor’s sole discretion and that the specific reason(s) for any such disqualification will not be provided to any disqualified potential winner or guest.

If a notified winner or guest is not eligible, forfeits Prize, or declines Prize, an alternate winner may be randomly selected as a potential First Prize winner, time and circumstances permitting, at the Sponsor’s sole discretion. Return of any prize notification or Prize as undeliverable or failure to accept any Prize within the specified time period may result in disqualification and forfeiture of Prize. Limit one (1) First Prize and one (1) Grand Prize per person during the Sweepstakes Period.

6. PUBLICITY RELEASE:
Except where legally prohibited, First and Grand Prize winners and their guests grant to the Sponsor and Sponsor’s designees, the right to the use of the winner’s name, address (city and state), picture, image, likeness, voice, video, biographical information and statements, at any time or times, for advertising, trade, publicity and promotional purposes or for any other reason the Sponsor or Released Parties see fit, without limitation, in all media now known or hereafter discovered, worldwide, in perpetuity, and on the Internet and World Wide Web, without additional notice, consent, review or approval, and without additional compensation, unless prohibited by law.

7. BY PARTICIPATING, entrant agrees to accept and be bound by these Official Sweepstakes Rules and agrees that any dispute with regard to the conduct of this Sweepstakes, rule interpretation, selection of entrant and/or awarding of Prize, shall be resolved by the Sponsor whose decisions shall be binding and final. By participating, entrant agrees to indemnify, release, discharge, and hold harmless the Released Parties and their employees, officers, directors and agents from any injury, liability, loss or damage to person, including death or property damage due in-whole or in-part, directly or indirectly to the acceptance, use, or misuse of a Prize, participation in any Sweepstakes-related activity, or participation in the Sweepstakes. Neither the Released Parties nor their affiliates are responsible for any typographical or other error in the printing of this offer, administration of the Sweepstakes, or in the announcement of Prizes. In the event the Sponsor is prevented from continuing with this Sweepstakes or any portion thereof, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including, but
not limited to fire, flood, pandemic, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction, or by other cause (each a “Force Majeure” event or occurrence), Sponsor shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Sweepstakes without further obligation. In no event will more than the stated number of Prizes be awarded.

8. RELEASE AND LIMITATIONS OF LIABILITY. Except where prohibited, by participating in the Sweepstakes, entrants agree to indemnify, release and hold harmless Released Parties and their employees, officers, directors and agents from and against any claim or cause of action arising out of: (i) unauthorized human intervention in the Sweepstakes; (ii) technical errors related to computers, servers, providers, printers, or telephone or network lines; (iii) printing errors; (iv) errors in the administration of the Sweepstakes or the processing of entries; (v) late, lost, or undeliverable mail; or (vi) injury, losses, or damage of any kind to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes and/or receipt, acceptance, use, or misuse of any Prize, including related travel. IN NO EVENT WILL GOOGLE OR NWSL AND EACH OF ITS AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE SWEEPSTAKES OR FOR ANY ACTION OR OMISSION MADE IN CONNECTION WITH THE SWEEPSTAKES. UNLESS OTHERWISE STATED AND WITHOUT LIMITING THE FOREGOING, EVERYTHING IN THESE RULES AND IN THIS SWEEPSTAKES INCLUDING THE SWEEPSTAKES AWARDED, IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

9. GENERAL CONDITIONS: If for any reason the Sweepstakes, including the online portion, is not capable of running as planned, including disruptions caused by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, a Force Majeure event or occurrence, or any other cause that corrupts, affects or compromises the administration, security, fairness, integrity, proper conduct or intended play of the Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any individual Sponsor deems responsible and Sponsor further reserves the right to cancel or terminate the Sweepstakes (or portion thereof). In the event the Sweepstakes is canceled or terminated as a result of a Force Majeure event, Sponsor reserves the right to select any remaining potential winners in a random drawing from among all eligible entries received up to time of such event. The Released Parties assume no responsibility for any error,
omission, interruption, deletion, defect, delay in operation or transmission, communications failure, theft, destruction or unauthorized access to, or alteration of, entries, including any erroneous appearance of qualification for a Prize. The Released Parties are not responsible for any problem or technical malfunction of any telephone network or lines, computer online systems, cable, satellite, servers, network or Internet service provider (ISP), computer equipment, software, failure of any entry to be received by Sponsor due to technical problem or traffic, congestion on the internet or at any web site, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE, OR APP OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

In the event of dispute as to the identity or eligibility of a winner based on an email account, the winning entry will be declared made by the “Authorized Account Holder” email account submitted at the time of the entry. The Authorized Account Holder is the natural person who is assigned to the email address.

10. ARBITRATION: By entering the Contest, you agree that exclusive jurisdiction for any dispute, claim, or demand related in any way to the Contest will be decided by binding arbitration. All disputes between you and Google of whatsoever kind or nature arising out of these Rules, shall be submitted to Judicial Arbitration and Mediation Services, Inc. (“JAMS”) for binding arbitration under its rules then in effect in the San Jose, California, USA area, before one arbitrator to be mutually agreed upon by both parties. The parties agree to share equally in the arbitration costs incurred.

11. CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of California, U.S.A.

12. WINNERS’ LIST: To receive the names of the Prize winners, please send a self-addressed, stamped envelope to be received by November 29, 2024 to: “Team Pixel NWSL Superfans Sweepstakes” Winners’ List, Attn: Promotions Department, 5050 South Towne Drive, New Berlin, WI 53151.
